1. Acceptance of Terms

Welcome to 2plus1finance ("Company", "we", "our", "us"), operated by TPO Studios. By downloading, accessing, or using the 2plus1finance mobile application (the "App") or website (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App or Service.

2. Description of Service

2plus1finance provides a financial workspace platform for expense management, receipt scanning (via AI/OCR), mileage tracking, and invoice generation. The App operates as a companion tool to our web platform. We reserve the right to modify, suspend, or discontinue any part of the Service at any time without notice.

3. Account Registration & Security

• Eligibility: You must be at least 18 years old to use the Service.
• Account Security: You are responsible for safeguarding your login credentials (including Two-Factor Authentication codes) and for all activities that occur under your account.
• Accurate Information: You agree to provide accurate, current, and complete information during registration and to update it as necessary.

4. Subscriptions and Billing

The 2plus1finance App is free to download. Paid features require an active subscription, which can be purchased either through our website or through an In-App Purchase on iOS.

4.1 Subscription Title, Length and Price

• Subscription name: 2Plus1 Finance Premium
• Length: 1 month, auto-renewing
• Price (Web, via GoCardless): £6.00 per month
• Price (iOS In-App Purchase, via Apple): £7.99 per month (or the equivalent local price shown on the App Store at the point of purchase)

Prices differ between channels because Apple charges a platform commission on iOS In-App Purchases. You may choose whichever channel you prefer.

4.2 What the Subscription Includes

• Unlimited expense logging and receipt OCR scanning
• Invoice creation, sending, and PDF export
• Financial summary dashboard and reports
• File storage for receipts and documents
• Team access and multi-user company accounts
• Mileage tracking

4.3 iOS In-App Purchase (Apple) — Auto-Renewal Terms

When you subscribe through the iOS App, the following terms apply:

• Payment will be charged to your Apple ID account at confirmation of purchase.
• The subscription automatically renews at £7.99/month unless auto-renew is turned off at least 24 hours before the end of the current period.
• Your account will be charged for renewal within 24 hours prior to the end of the current period, at the price stated above.
• You can manage your subscription and turn off auto-renewal by going to your Apple ID account settings after purchase.
• Any unused portion of a free trial period, if offered, will be forfeited when you purchase a subscription, where applicable.

4.4 Web Subscription

Subscriptions purchased via our website 2plus1finance.com are billed at £6.00/month and managed by our payment processor (GoCardless). You can cancel at any time from the Billing tab inside your account. Cancellations take effect at the end of the current billing period.

4.5 Trials, Expiration and Access

If your subscription or free trial expires, access to paid features within the App will be locked until billing is renewed via your original purchase channel (the App Store for iOS in-app purchases, or our website for web subscriptions).

5. Acceptable Use & User Conduct

You agree NOT to:

• Use the Service for any illegal, fraudulent, or unauthorized purpose.
• Upload any malicious code, viruses, or disruptive software.
• Attempt to reverse-engineer, decompile, or hack the App or our APIs.
• Resell, rent, or lease the Service to third parties without our explicit written consent.
• Upload content (including receipts or invoices) that infringes on the intellectual property or privacy rights of others.

6. Third-Party Services

The App relies on certain third-party services to function:

• Mapping and Mileage: We utilize Mapbox to calculate routes and distances. By using the mileage tracker, you agree to Mapbox’s respective terms of service.
• AI & OCR Processing: Receipt scanning relies on automated text extraction technologies. While we strive for accuracy, you are solely responsible for verifying the extracted amounts, dates, and VAT calculations before saving them to your financial records.

7. Data Ownership & Privacy

• Your Data: You retain all ownership rights to the financial data, client information, and documents you upload to the Service.
• Our License: By uploading data, you grant us a secure, limited license to host, process, and analyze this data solely for the purpose of providing the Service to you.
• Privacy: Our data collection and use practices are detailed in our Privacy Policy.

8. Not Financial or Tax Advice

The Service is a tool designed to help you organize your data. We are not an accounting firm, tax advisor, or financial planner. The generated invoices, P&L summaries, and VAT calculations are for informational and organizational purposes only. You are solely responsible for ensuring your tax returns, financial filings, and legal compliance are accurate.

9. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the app will be error-free, secure, or uninterrupted.

10. Limitation of Liability

To the maximum extent permitted by applicable law, TPO Studios shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the service. In no event shall our aggregate liability exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Termination

We reserve the right to suspend or terminate your account at our sole discretion if we determine that you have violated these Terms. You may terminate your account at any time by managing your subscription settings on our website. Upon termination, your right to use the App will immediately cease.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. Any legal disputes arising from these Terms shall be resolved in the courts of England and Wales.

13. Changes to Terms

We may modify these Terms at any time. If we make material changes, we will notify you via email or a prominent notice within the App. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
